2022RS36 - Associate Legal Counsel

TROUVAY & CAUVIN Gulf is looking for its new Associate Legal Counsel.

She/he will be based in Dubai and will report to the Group General Counsel of the Legal & Insurance Department.

The Associate Legal Counsel is the prime assistance to the Group General Counsel for providing international legal support to the Company and its affiliates and handling Corporate Governance and Business Policy in liaison with TROUVAY & CAUVIN Group’s Directors, Executive Management along with its Sales and Operational teams within related divisions.

She/he will provide with transversal support to: Operations, Sales of all Divisions, Sourcing & Procurement, QHSE, Accounts & Finance, Human Resources, Corporate Communication, and IT.

Scope :

Draft, review and negotiate a wide variety of legal documents and agreements under the Group General Counsel’s supervision:

Contract review and Risk Management :

  • Review and provide legal analyze and advices of tender’s contractual documents - in liaison with the Tender Manager/Sales team; support for the negotiation process till the purchase order is secured with customer - Handling of negotiation;
  • Draft, review and advises on purchase orders placed with Manufacturers/Suppliers, Framework Agreements, warranties conditions, bank guarantees; ensuring the Company/Group’s commercial interests are protected and Group policy respected.
  • Provide suitable and timely advice in the avoidance/mitigation of risks to the Manager/Sales, as well as advice on most appropriate course of action and Terms and Conditions;
  • Draft, review and advises on Agency & Distributorship agreements and other general business contracts, at a Group level;

Procedures and Contracts Data Base :

  • Draft and implementing the Group’s contracts database and policies; Offering & Purchasing procedures along with related standard offer & purchase order, general terms and conditions of sales and of purchase; TROUVAY & CAUVIN Group Governance policy; Standard Agency & Distributorship agreements;

Corporate :

  • Assist on Corporate matters at Group level (subsidiaries corporates records, foundation & taking over);
  • Assist on the registration and maintenance of “TROUVAY & CAUVIN /T&C” Trademarks and make sure renewal are done in due time and classified/ recorded properly.
  • Assist on the follow up and negotiation of TROUVAY & CAUVIN Group’s insurance policies and their renewal

Compliance :

  • Assist the Group General Counsel to enhance the implementation of TROUVAY & CAUVIN Group Governance policy related to anti-bribery and corruption within the group: Business Partner Qualification Form return, analyze and reporting, Employees training, etc.

Legal Training Course :

  • Assist and perform Legal training of TROUVAY & CAUVIN Group’s teams;

Routine Administrative Tasks :

  • Establish, maintain process and/or oversee files, correspondence, databases, records, certificates and/or other documents.

Claim & Litigation :
Assist in handling and mitigating pre-litigation claims and litigation.
